Terms of Service

1. Definitions
- "Service" or "The Old Farm": the The Old Farm SaaS platform for agricultural management, accessible through the domains
app.theold.farm,www.theold.farm, and all related services. - "Provider": gyn.dev Srl, with registered office at Via Vincenzo Monti, 32 - 20123 Milan, Italy, VAT No. 13658260966.
- "User" or "Owner": the natural or legal person who registers for the Service to manage one or more farms.
- "Operator": a person invited by the User to collaborate on the same Organization, with specific permissions.
- "Organization": the farm created by the User within the platform.
- "Visitor": any person who views the public content of an Organization (e.g. product information) via QR tag, web link, or iframe.
- "User Content": images, text, descriptions, field data, and any material uploaded by the User to the platform.
- "Catalog": the reference database (e.g. hive models, species, varieties) made available by the Provider within the platform.
- "Dashboard": the administrative interface reserved for registered Users.
- "Viewer": the public interface that displays the Organization's product content.
2. Subject matter
These Terms and Conditions ("T&C") govern access to and use of the The Old Farm Service.
The Old Farm is a modular platform for managing farms. Through its activatable modules, the User can, by way of example:
- Manage apiaries, hives/colonies, queens, and inspections (beekeeping module).
- Manage plots, crops, and field activities (crops module).
- Generate labels/QR tags with publicly viewable product information.
The Old Farm is not a sales/e-commerce system, a payment system, nor an official register replacing the registers and obligations required by law (e.g. apiary registry, national databases, treatment logs).
2.1 Instrumental nature of the Service
The Old Farm is a support tool for managing and organizing farming activity. The Service does not in any way replace the legal obligations incumbent upon the User, including those relating to mandatory registries and records, animal health and welfare, traceability, product safety and hygiene, and the use of plant-protection and veterinary products.
The User remains solely responsible for the truthfulness, accuracy, and completeness of all information entered and published through the Service, as well as for the agronomic, sanitary, management, and commercial decisions made on the basis of the Service's data or features.
2.2 Onboarding support service
The Provider may offer assistance with the initial configuration of the Organization. Such activity is purely operational and facilitative in nature. The User is required to review, approve, and validate all content entered β including content prepared with the Provider's support β prior to publication. Publication constitutes implicit approval by the User. The Provider shall not be liable for errors, omissions, or inaccuracies in the content, even where the Provider has participated in its preparation.
3. Acceptance
Registration for and use of the Service constitutes full and unconditional acceptance of these T&C. The User declares that they have read, understood, and accepted these T&C and the Privacy Policy.
4. Registration and Account
4.1 Requirements
To register for the Service, the User must be a natural person of legal age or a duly incorporated legal entity, provide truthful, accurate, and complete information, and have a valid email address.
4.2 Credentials
The User is solely responsible for the safekeeping of their login credentials and for all activities carried out through their account. The User undertakes to immediately notify the Provider of any unauthorized access to their account by writing to support@theold.farm.
4.3 Operators
The User may invite Operators to collaborate on their Organization, assigning them specific roles with defined permissions (admin, member, reader). The User is responsible for the activities of invited Operators and undertakes to ensure that they comply with these T&C.
5. Trial Period and Subscription
5.1 Trial period
Upon registration, the User may benefit from a free trial period lasting 6 (six) months with access to all Service features. Activation of the trial period does not require a payment method. No charges will be made during the trial period.
5.2 End of trial period
At the end of the trial period, in the absence of a paid plan subscription:
- Public content publication (Viewer / QR tags) will be suspended: product information will no longer be visible to the public.
- Access to the Dashboard will remain active to allow the User to regularize payment, export their data, and resume use of the Service without data loss.
5.3 Plans and pricing
During the early-access phase, the Service is offered with a single, all-inclusive plan, priced per Organization (farm). Each Organization created on the platform requires a separate subscription.
- Monthly plan and Annual plan: as per the current price list published on
www.theold.farm.
Prices are exclusive of VAT, where applicable. The Provider reserves the right to modify prices with at least 60 (sixty) days' notice; price changes do not apply to the current billing period.
The plan is subject to usage limits indicated in the plan card (by way of example: number of managed items and storage space). The Provider reserves the right to introduce, modify, or enforce such usage limits, and to introduce additional terms, modules, or premium features in the future, with adequate notice as described in section 11.
5.4 Automatic renewal
The subscription automatically renews at the end of each billing period (monthly or annual) under the same terms and pricing, unless the User cancels before the renewal date through the Dashboard or by contacting the Provider at support@theold.farm.
5.5 Payment
Payment is processed through Stripe, Inc. The User authorizes recurring charges to the registered payment method on the renewal date of each billing period. In the event of non-payment, the Provider reserves the right to suspend the Service as described in section 5.2.
5.6 Invoicing
The Provider will issue electronic invoices in accordance with applicable tax regulations, through the Italian Electronic Invoicing System (SDI) where required. The User undertakes to provide correct and complete billing information, including the Codice Destinatario (Recipient Code) or PEC (Certified Email) address required for electronic invoicing.
6. User obligations
The User undertakes to:
- Use the Service in compliance with these T&C and applicable law.
- Not upload content that is illegal, defamatory, pornographic, violent, discriminatory, or in any way contrary to public order or decency.
- Not use the Service for purposes other than those intended.
- Not attempt to access unauthorized systems, data, or features.
- Not engage in reverse engineering, decompilation, or disassembly of the Service.
- Ensure the accuracy and lawfulness of the information entered and published through the Service (including product information made available via QR tags) and verify its correctness independently of any tools or suggestions provided by the platform.
- Keep their registration and billing information up to date.
7. Intellectual Property
7.1 Provider's property
All intellectual property rights relating to the The Old Farm platform β including but not limited to software, source code, architecture, design, trademarks, logos, graphical interfaces, the Catalog, processes, methodologies, algorithms, suggestions generated by artificial intelligence systems integrated into the platform, and any aggregated or derived data from Service usage β are and remain the exclusive property of the Provider.
Subscription to the Service does not confer any ownership rights over the platform or its components upon the User, but solely a limited, non-exclusive, non-transferable, and revocable license to use the Service for the duration of the contract.
7.2 User Content
User Content remains the property of the User or the respective rights holders. The User grants the Provider a non-exclusive, royalty-free license limited to the duration of the contract, solely for the purpose of providing the Service (display, storage, transmission of content).
7.3 Warranty and indemnification for User Content
The User represents and warrants that they hold all necessary rights to the User Content uploaded to the platform. The User undertakes to indemnify and hold harmless the Provider from any claim, damage, cost, or expense (including legal fees) arising from the infringement of third-party rights in connection with User Content.
7.4 Feedback and suggestions
Any ideas, suggestions, improvement proposals, reports, or feedback provided by the User in relation to the Service ("Feedback") are assigned to the Provider free of charge and without limitation. The Provider may use, incorporate, modify, and implement the Feedback at its sole discretion, without any obligation of compensation, attribution, or reporting.
7.5 Infringement reports
Any third party who believes that content published through the Service infringes their rights may submit a detailed report to legal@theold.farm. The Provider will promptly evaluate the report and, where deemed well-founded, will remove or disable access to the content in question, informing the relevant User.
8. Service Level Agreement (SLA)
8.1 Availability
The Provider commits to ensuring Service availability of 99.5% on a monthly basis, calculated excluding scheduled maintenance periods.
8.2 Scheduled maintenance
The Provider may perform scheduled maintenance, notifying Users with at least 48 (forty-eight) hours' notice via email or Dashboard notification. Scheduled maintenance periods are excluded from the availability calculation.
8.3 Exclusions
The Provider is not responsible for Service interruptions due to force majeure, internet network or third-party service malfunctions, actions or omissions of the User, or scheduled maintenance.
8.4 Content backup
The Provider performs periodic backups of data. However, the Provider does not guarantee the absence of data loss or corruption in every circumstance. The User is encouraged to maintain an independent copy of their User Content. The Provider shall not be liable for any data loss not attributable to willful misconduct or gross negligence on the part of the Provider.
9. Limitation of Liability
9.1 Disclaimer of warranty
The Service is provided "as is" and "as available". The Provider makes no express or implied warranties regarding the suitability of the Service for particular purposes, its uninterrupted availability, or the absence of errors. The Service does not constitute agronomic, veterinary, legal, or tax advice.
9.2 Limitation
In no event shall the Provider's total liability to the User exceed the total amount paid by the User for the Service in the 12 (twelve) months preceding the event giving rise to liability, or β¬50 (fifty euros) if greater.
9.3 Exclusions
The Provider shall in no event be liable for:
- Indirect, incidental, consequential, punitive, or loss-of-profit damages.
- Data loss caused by User actions.
- Inaccuracy of information entered by the User, even where the Provider has participated in the preparation of such content during onboarding.
- Agronomic, sanitary, management, or commercial decisions made by the User on the basis of the Service's data or features, and related damage to crops, animals, hives, or production.
- Infringement of third-party rights arising from User Content.
9.4 Indemnification
The User undertakes to indemnify and hold harmless the Provider, its directors, employees, and collaborators, from any claim, action, damage, cost, expense, or liability (including legal fees) brought by third parties in connection with: content published by the User through the Service; inaccurate or incomplete information; breach of legal obligations incumbent upon the User; any use of the Service in violation of these T&C or applicable law.
10. Suspension and Termination
10.1 Suspension by the Provider
The Provider reserves the right to suspend, in whole or in part, the provision of the Service in the event of: non-payment; violation of these T&C; unlawful or harmful use of the Service; risk to the security or integrity of the Service or other Users' data. Suspension will be communicated to the User via email, except in urgent cases.
10.2 User withdrawal
The User may withdraw from the contract at any time, without penalty, through the Dashboard or by contacting the Provider at support@theold.farm. Withdrawal takes effect at the end of the current billing period. No refunds are provided for partial periods.
10.3 Termination by the Provider
The Provider may terminate the contract with immediate effect in the event of serious or repeated violation of these T&C, fraudulent use of the Service, or insolvency proceedings against the User.
10.4 Effects of termination
Upon termination of the contract, for any reason: Dashboard access will be deactivated within 30 days; User Content will be retained for 30 days from termination, during which the User may request its export by contacting support@theold.farm; after such period, User Content will be permanently deleted; personal data will be processed in accordance with the Privacy Policy.
11. Amendments to Terms and Conditions
The Provider reserves the right to amend these T&C at any time. Amendments will be communicated to registered Users by email with at least 30 (thirty) days' notice before the effective date.
Continued use of the Service after the amendments take effect constitutes acceptance of the new T&C. In case of disagreement, the User may withdraw from the contract as provided in section 10.2 before the amendments take effect. In the event of withdrawal due to T&C amendments, Users with an annual subscription shall be entitled to a proportional refund for the remaining unused period.
12. Communications
All communications related to the Service will be sent to the email address provided by the User at registration. The User is responsible for maintaining a valid email address and monitoring communications received. The Provider may be contacted at support@theold.farm and, for privacy matters, privacy@theold.farm.
13. Governing Law and Jurisdiction
These T&C are governed by Italian law. Any dispute arising from the interpretation, validity, or performance of these T&C shall be subject to the exclusive jurisdiction of the Court of Milan, unless otherwise required by mandatory law.
14. Final Provisions
- Severability: if one or more provisions of these T&C are declared null or ineffective, the remaining provisions shall remain fully valid and effective.
- Entire agreement: these T&C, together with the Privacy Policy, constitute the entire agreement between the User and the Provider regarding the use of the Service and supersede any prior agreement or understanding, whether written or oral.
- Waiver: failure or delay by the Provider to enforce any provision of these T&C shall not constitute a waiver of the right to enforce it in the future.
